Terms of Service

XIDRA is non-custodial software that lets you create AI trading agents for digital assets on Robinhood Chain, including Stock Tokens. Depending on availability, the Service includes:

• Market analysis and chart reads for supported assets
• Tools to describe strategies and compile them into explicit trading rules
• Copilot Mode, in which an agent proposes trades that you review and sign
• Autopilot Mode, in which an agent executes trades within permissions you grant
• Paper Mode, which simulates trading against live market data
• Quote comparison and order routing to third-party trading venues
• Activity logs and receipts of agent decisions and executions

To use the Service, you must:

• Be at least 18 years old and have the legal capacity to enter into these Terms
• Not be located in, organized in, or a resident of any country or territory subject to comprehensive sanctions, and not be listed on any sanctions list
• Comply with all laws that apply to you, including any restrictions on accessing tokenized securities or digital assets

Stock Tokens are issued by third parties and are not available to US persons. They are also restricted in certain other jurisdictions. Features that involve Stock Tokens are not offered where they are restricted, and we may use location and eligibility checks to enforce this. You must not use a VPN or any other method to circumvent these restrictions.

The Service is in pre-launch. Features may be offered as early access or beta, may change or be withdrawn at any time, and may contain errors. Descriptions of planned features on our website or documentation are not commitments to deliver them.

XIDRA does not take custody of your assets, private keys, or seed phrases. Your assets remain in a wallet or smart account that you control.

• You are solely responsible for securing your wallet, devices, and recovery credentials
• We will never ask for your seed phrase or private key, and we cannot recover lost keys or reverse transactions
• Transactions on a blockchain are final once confirmed

When you deploy an agent, you instruct it to act according to the strategy and guardrails you configure. By granting an agent permission to execute transactions, you authorize those transactions within the limits you set.

• Your Responsibility: You are responsible for every strategy, guardrail, and permission you configure, and for reviewing the rules an agent compiles before activating it.
• Limits: Guardrails and permission limits reduce, but do not eliminate, the risk of loss. An agent may execute trades that result in losses while remaining within your limits.
• Revocation: You can pause an agent or revoke its permissions at any time. Transactions submitted before revocation may still be confirmed.
• No Guarantee of Execution: Orders may be delayed, partially filled, or not executed due to market conditions, venue availability, network congestion, or other factors outside our control.
• Safety Pauses: We may pause agents, or decline to route orders, during abnormal market, venue, or network conditions, or when we suspect a security incident.

IMPORTANT: XIDRA provides software only. We are not a broker, dealer, exchange, investment adviser, or fiduciary, and we do not provide financial, investment, legal, or tax advice.

Market analysis, chart reads, trade plans, and strategy templates are informational and are generated from the inputs and rules you provide. They are not recommendations to buy or sell any asset. You are solely responsible for your trading and investment decisions. Consider consulting a qualified professional before trading.

The Service interacts with assets, venues, and networks operated by third parties, including Robinhood Chain, Stock Token issuers, decentralized exchanges, RFQ venues, wallets, and oracles. We do not control and are not responsible for these third parties.

• Stock Tokens are issued by third parties and may not grant legal or beneficial rights in the underlying shares; their terms are set by the issuer
• Your use of any third-party venue, wallet, or network is subject to that party's own terms
• Third-party failures, outages, pricing errors, or changes may affect your agents and results

XIDRA is not affiliated with, endorsed by, or sponsored by Robinhood or any venue or issuer referenced in the Service.

Trading digital assets, including Stock Tokens, involves substantial risk. By using the Service, you acknowledge and agree that:

• You may lose some or all of the capital you allocate to an agent
• Stock Tokens trade around the clock, including when the underlying market is closed, and prices may move sharply or diverge from the underlying shares
• AI-generated analysis and compiled rules may be inaccurate, incomplete, or misinterpret your instructions
• Smart contracts, smart accounts, and blockchains may contain vulnerabilities or fail
• Liquidity may be limited, and slippage, gas costs, and venue fees reduce returns
• Paper Mode and historical results do not guarantee future performance
• Laws and regulations applying to digital assets, tokenized securities, and automated trading may change and may affect your ability to use the Service

When you create an account or connect a wallet, you agree to:

• Provide accurate and current information, including about your eligibility
• Keep your account and wallet secure and notify us promptly of unauthorized access
• Accept responsibility for all activity under your account and connected wallets
• Not share your account or allow others to operate your agents

Use of the Service is metered through Asks (credits):

• Nature of Credits: Credits are a license to use XIDRA software. They are not a deposit, have no cash value, are not transferable outside the Service, and cannot be used to buy Stock Tokens or other assets.
• Usage: Credits are consumed by analyses, agent runtime, and order routing. The credit cost of an action is shown before it runs.
• Pricing, Expiry, and Refunds: Pricing, credit expiry, and refund terms will be published before paid credits become available and will form part of these Terms.
• Trading Costs: Network gas and third-party venue fees are separate from credits and are paid from your wallet at execution time.
• Payment Processing: Card payments are handled by third-party payment processors subject to their terms. Stablecoin payments are signed in your own wallet and are final once confirmed.

You retain ownership of the strategies and content you create. You grant us a limited license to store and process them to operate the Service. If you choose to publish a strategy or track record, you grant other users a license to view and run it within their own accounts, and you are responsible for ensuring your published content is accurate and lawful.

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws or sanctions
• Circumvent eligibility, geographic, or security restrictions
• Use agents to manipulate markets, including wash trading, spoofing, or front-running other users
• Reverse engineer, decompile, or attack the Service, its smart contracts, or its infrastructure
• Transmit malware or interfere with the Service or other users' agents
• Scrape or systematically extract data from the Service without authorization
• Resell or redistribute the Service without our written permission

The Service, including its software, models, content, design, and trademarks, is owned by XIDRA or its licensors and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not grant you any right to use our trademarks, logos, or branding without our prior written consent.

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Information recorded on a public blockchain is outside our control and cannot be deleted.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that:

• The Service, agents, or smart contracts will be uninterrupted, secure, or error-free
• AI-generated analysis or compiled rules will be accurate or match your intent
• Orders will be executed at any particular price or at all
• Use of the Service will be profitable

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XIDRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Trading losses, including losses from trades executed by your agents within the permissions you granted
• Losses caused by smart contract, blockchain, wallet, oracle, or third-party venue failures
• Loss of profits, revenue, data, or business opportunities
• Errors in AI-generated analysis or in the compilation of your strategy
• Service interruptions, delays, or safety pauses

Our total liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us for credits in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless XIDRA, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service and the actions of agents you deploy
• Your violation of these Terms or of any applicable law
• Your violation of any rights of another party
• Your trading or investment decisions

We may suspend or terminate your access to the Service, and pause your agents, at any time if we reasonably believe you have violated these Terms, are ineligible, or pose a risk to the Service or other users. Because the Service is non-custodial, termination does not affect your ownership of assets held in your wallet.

You may stop using the Service and revoke all agent permissions at any time. To close your account, contact us at support@xidra.app.

We may modify these Terms at any time. We will notify you of material changes by email or through a notice in the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which XIDRA is incorporated, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except where prohibited by law.

Entire Agreement: These Terms constitute the entire agreement between you and XIDRA regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
